Upon consideration of [1] Air Canada's petition to confirm its arbitral award; [11] Venezuela's motion to dismiss, which raised only merits defenses; [13] Air Canada's opposition to Venezuela's motion to dismiss and request that the Court construe Venezuela's motion as an opposition to its petition; [14] Venezuela's reply in support of its motion; and the entire record herein; for the reasons set forth in the memorandum opinion issued on this day, it is hereby

ORDERED that [11] Venezuela's motion to dismiss [1] Air Canada's petition is DENIED; it is further
ORDERED that [1] Air Canada's petition is GRANTED; and it is further
ORDERED that the parties shall meet, confer, and jointly file a proposed final judgment by not later than September 14, 2026. The proposed judgment shall include all elements of the arbitral award and a current calculation of pre- and post-judgment interest, if any.
