For the reasons stated in the court’s Memorandum Opinion, ECF No. 100, it is hereby ORDERED that Magistrate Judge Upadhyaya’s Report and Recommendation, ECF No. 63, is ADOPTED IN FULL. It is further ORDERED that Defendant Spain’s Motion to Dismiss, ECF No. 43, is DENIED, Plaintiffs’ Motion for Judgment on the Pleadings, ECF No. 54, is DENIED, and Plaintiffs’ alternative Motion for Summary Judgment, ECF No. 54, is GRANTED.

This Order constitutes a final judgment of the court within the meaning of Rule 58(a) of the Federal Rules of Civil Procedure. The Clerk of Court is directed to terminate the case.
