I/ BACKGROUND AND PROCEEDINGS

1. Setting-aside proceedings were initiated before this Court against a final arbitration award rendered in Paris on 13 February 2023, under the auspices of the International Chamber of Commerce, in the case (CCI n° 20273/AGF/ZF/AYZ/ELU) between the Republic of Türkiye ('the Applicant') and the Republic of Iraq ('the Respondent').

2. The dispute in respect of which the award was rendered relates to the use of oil infrastructures for the transportation, storage and loading of Iraqi oil under an agreement entered into by the parties, as well as to the payment of various fees and expenses incurred as a result of the performance of the said agreement.

3. In 1973, the Republic of Iraq and the Republic of Türkiye entered into an agreement relating to the construction, maintenance and operation of a pipeline (hereinafter, 'the 1973 Agreement'). The said agreement was complemented by a Protocol entered into in 1976, setting out the undertakings of the parties, by an Addendum entered into in 1985, and subsequently by an Amendment entered into in 2010, amending in particular the dispute resolution clause. This contractual body is denominated by the parties as 'Iraq-Türkiye Pipeline Agreements' or 'ITP Agreements' ("ITP Agreements" in the award challenged). It provides for the construction of two pipelines running from Kirkuk, in Northern Iraq, to Ceyhan, in Southern Türkiye, and describes the manner in which the various crude oil transportation, storage and loading facilities are to be operated.

4. Upon the contention that, as of December of 2013, the Republic of Türkiye allegedly allowed crude oil from Kurdistan region of Iraq to flow through the pipelines without the consent of Iraq's Ministry of Oil, in breach of the ITP Agreements, the Republic of Iraq initiated arbitration proceedings on 23 May 2014 on the grounds of Article 10 of the 2010 Amendment.

5. On 16 June 2016, the arbitral tribunal rendered a partial award on jurisdiction, finding as follows:

"a. The Claimant's claims under the ITP Agreements are arbitrable.

b. The Claimant's claims under the ITP Agreements fall within the scope of the arbitration agreement.

c. The tribunal does not have jurisdiction ratione materiae over the Claimant's claims under the 1946 Treaty.

d. The tribunal does not have jurisdiction ratione personae over BOTAS.

e. All other requests and claims, including claims for costs, are reserved for a further award."

The meaning of which is:

"a. Les demandes de la Demanderesse au titre des Accords OIT sont arbitrables.
b. Les demandes de la Demanderesse au titre des Accords OIT relèvent du champ d'application de la convention d'arbitrage.

6. In its award on the merits of 13 February 2023, which is subject to this appeal, the arbitral tribunal found as follows:

'a. CONFIRMS the findings set out in paragraph 303 of the Partial Award on Jurisdiction dated 16 June 2016 (which findings are attached as Dispositive Exhibit 1).

b. DECLARES that the Respondent has breached Articles 3 and 7 of the 1976 Protocol and Article 2.3 of the 2010 Amendment by loading Iraqi oil at Ceyhan in breach of instructions issued by the Iraqi Ministry of Oil since 21 May 2014.

c. DECLARES that the Respondent has breached Article 4.4 of the 2010 Amendment by denying Iraqi personnel access to the Iraqi office at the Ceyhan port facility between January and March 2014.

d. ORDERS that the Respondent shall load all oil in the storage tanks at Ceyhan as at the date of this Award in accordance with the instructions of the Iraqi Ministry of Oil, as required by the ITP Agreements.

e. DECLARES that the Respondent is liable to pay the Claimant forthwith compensation in the amount of USD 1,997,976,023.50 (one billion, nine hundred and ninety-seven million, nine hundred and seventy-six thousand and twenty-three US dollars and fifty cents) as a result of the breaches set out in (b) and (c) above.

f. DISMISSES the Claimant's claims for breach of Article 2.4 of the 2010 Amendment in relation to the exclusive use of the Pipelines.

g. DECLARES that a situation of force majeure existed in the Republic of Iraq between 1 March 2003 and 31 July 2007, such that the Claimant was excused from performing its Minimum Guaranteed Throughput obligations under the 1985 Addendum between these dates.

h. DECLARES that the Respondent is credited the sum of USD 67,607,024.62 (sixty-seven million, six hundred and seven thousand and twenty-four US dollars and sixty-two cents) for Minimum Guaranteed Throughput fees payable by the Claimant between 27 July 2011 and 31 December 2013, in accordance with article 3.2 of the 2010 Amendment, such amount to be set off against the Respondent's liability in (e) above.

i. DECLARES that the Claimant breached article 2.7 of the 1985 Addendum between 1 August 2007 and 26 July 2011 and is liable to pay the Respondent USD 281,337,301.50 (two hundred and eighty-one million, three hundred and thirty-seven thousand, three hundred and one US dollars and fifty cents) as a result of this breach, such amount to be set off against the Respondent's liability in (e) above.

j. DECLARES that the Claimant is liable to pay the Respondent USD 58,000,000.00 (fifty-eight million US dollars) in respect of outstanding transportation fees from 1990, such amount to be set off against the Respondent's liability in (e) above.

k. DECLARES that the Claimant is liable to pay the Respondent USD 70,676,675.27 (seventy million, six hundred and seventy-six thousand, six hundred and seventy-five US dollars and twenty-seven cents) in respect of underpaid transportation fees from 1990, such amount to be set off against the Respondent's liability in (e) above.

l. DECLARES that the Claimant is liable to pay the Respondent USD 46,253,517.75 (forty-six million, two hundred and fifty-three thousand, five hundred and seventeen US dollars and seventy-five cents) in respect of outstanding transportation fees from 2003-2007, such amount to be set off against the Respondent's liability in (e) above.

m. DECLARES that the Claimant is liable to pay the Respondent USD 2,071,739.00 (two million, seventy-one thousand, seven hundred and thirty-nine US dollars) for reimbursement of expenses incurred by Iraqi personnel at Ceyhan, such amount to be set off against the Respondent's liability in (e) above.

n. DECLARES that the Claimant is liable to pay the Respondent USD 639,279.31 (six hundred and thirty-nine thousand, two hundred and seventy-nine US dollars and thirty-one cents) for reimbursement of expenses relating to equipment, such amount to be set off against the Respondent's liability in (e) above.

o. ORDERS the Respondent to pay forthwith to the Claimant the sum of USD 1,471,390,486.05, after set off of the amounts in (e) and (h)-(n) above, subject to appropriate adjustments for interest.

p. ORDERS the Respondent to pay the Claimant interest on the amount in paragraph (e) above at the average annual US dollar denominated Turkish bond rate from 1 January of the year following which the amount was incurred, compounded annually to the date of this Award.

q. ORDERS the Claimant to pay the Respondent interest on the amounts set out in paragraphs (i)-(l) above at the average annual US dollar denominated Turkish bond rate from 1 January of the year following which the amount was incurred, compounded annually to the date of this Award.

r. ORDERS the Claimant to pay the Respondent interest on the amounts set out in paragraphs (m)-(n) above at the average annual US dollar denominated Turkish bond rate from the date on which the debt was due or, if not such date is identifiable, from 1 January of the year following which the amount was incurred, compounded annually to the date of this Award.

s. ORDERS the Respondent to pay the Claimant interest on the amount due to be paid to the Claimant after all amounts owed by the Claimant to the Respondent have been set off, at the average annual US dollar denominated Turkish bond rate, compounded annually from the date of this Award until payment in full.

t. ORDERS that each Party shall bear equally the costs of the arbitration fixed by the ICC Court in the amount of USD 1,810,000 and that each Party shall bear its own legal costs and expenses.

u. DISMISSES all adverse inference requests by both Parties.

v. DISMISSES all other claims made in this arbitration.'

The meaning of which is (translation provided by the Applicant):

"a. CONFIRME les conclusions énoncées au paragraphe 303 de la sentence partielle sur la compétence en date du 16 juin 2016 (annexées aux présentes sous l'intitulé Exhibit annexe au Dispositif 1).

b. DÉCLARE que la Défenderesse a violé les articles 3 et 7 du Protocole de 1976 et l'article 2.3 de l'Avenant de 2010 en chargeant du pétrole irakien à Ceyhan en violation des instructions imparties par le ministère irakien du Pétrole depuis le 21 mai 2014.

c. DÉCLARE que la Défenderesse a violé l'article 4.4 de l'Avenant de 2010 en interdisant au personnel irakien l'accès à la délégation des installations portuaires de Ceyhan entre janvier et mars 2014.

d. ORDONNE à la Défenderesse de charger tout le pétrole existant dans les réservoirs de Ceyhan à la date de la présente Sentence conformément aux instructions du ministère du Pétrole Irakien, comme l'exigent les accords ITP.

e. DÉCLARE que la Défenderesse est immédiatement redevable à la Demanderesse d'une indemnisation d'un montant de 1 997 976 023,50 dollars américains (un milliard neuf cent quatre-vingt-dix-sept millions neuf cent soixante-seize mille vingt-trois dollars américains et cinquante centimes) en conséquence des violations énoncées en (b) et (c) ci-dessus.

f. REJETTE le grief de violation de l'article 2.4 de l'Avenant de 2010 en lien avec l'usage exclusif des Oléoducs, exposé par la Demanderesse.

g. DÉCLARE qu'une situation de force majeure a existé en République d'Irak entre le 1er mars 2003 et le 31 juillet 2007, de nature à dispenser la Demanderesse d'exécuter ses obligations de Débit Minimal Garanti aux termes de l'Addendum de 1985 entre lesdites dates.

h. DÉCLARE l'attribution au profit de la Défenderesse de la somme de 67 607 024,62 dollars américains (soixante-sept millions six cent sept mille vingt-quatre dollars américains et soixante-deux centimes) au titre des redevances de Débit Minimal Garanti payables à la Demanderesse entre le 27 juillet 2011 et le 31 décembre 2013, conformément à l'article 3.2 de l'Avenant de 2010, à déduire de la sommes dont la Défenderesse est redevable, tel qu'indiqué en (e) ci-dessus.

i. DÉCLARE que la Demanderesse a violé l'article 2.7 de l'Addendum de 1985 entre le 1er août 2007 et le 26 juillet 2011 et est redevable à la Défenderesse de la somme de 281 337 301,50 dollars américains (deux cent quatre-vingt-un millions, trois cent trente-sept mille, trois cent un dollars américains et cinquante centimes) en conséquence de ladite violation, à déduire de la somme dont la Défenderesse est redevable, tel qu'indiqué en (e) ci-dessus.

j. DÉCLARE que la Demanderesse est redevable à la Défenderesse de la somme de 58 000 000,00 dollars américains (cinquante-huit millions de dollars américains) au titre des redevances de transport impayées à compter de 1990, à déduire de la somme dont la Défenderesse est redevable, tel qu'indiqué en (e) ci-dessus.

l. DÉCLARE que la Demanderesse est redevable à la Défenderesse de la somme de 46 253 517,75 dollars américains (quarante-six millions, deux cent cinquante-trois mille, cinq cent dix-sept dollars américains et soixante-quinze centimes) au titre des redevances de transport impayées de 2003 à 2007, à déduire de la somme dont la Défenderesse est redevable, tel qu'indiqué en (e) ci-dessus.

m. DÉCLARE que la Demanderesse est redevable à la Défenderesse de la somme de 2 071 739,00 dollars américains (deux millions, soixante et onze mille, sept cent trente-neuf dollars américains) au titre du remboursement des dépenses exposées par le personnel irakien à Ceyhan, à déduire de la somme dont la Défenderesse est redevable, tel qu'indiqué en (e) ci-dessus.

n. DÉCLARE que la Demanderesse est redevable à la Défenderesse de la somme de 639 279,31 dollars américains (six cent trente-neuf mille, deux cent soixante-dix-neuf dollars américains et trente-et-un centimes) au titre du remboursement des dépenses en lien avec l'équipement, à déduire de la somme dont la Défenderesse est redevable, tel qu'indiqué en (e) ci-dessus.

o. ORDONNE à la Défenderesse de verser sans délai à la Demanderesse la somme de 1 471 390 486,05 dollars américains, déduction faite des sommes en (e) et (h)-(n) ci-dessus, sous réserve des ajustements nécessaires à la prise en compte des intérêts.

p. ORDONNE à la Défenderesse de payer à la Demanderesse des intérêts sur la somme stipulée au paragraphe (e) ci-dessus au taux annuel moyen des obligations turques libellées en dollars américains à compter du 1er janvier de l'année suivant celle au titre de laquelle le paiement a été imposé, composés annuellement jusqu'à la date de la présente Sentence.

q. ORDONNE à la Défenderesse de payer à la Demanderesse des intérêts sur les sommes stipulées aux paragraphes (i)-(l) ci-dessus, au taux annuel moyen des obligations d'état turques libellées en dollars américains à compter du 1er janvier de l'année suivant celle au titre de laquelle le montant a été imposé, composés annuellement jusqu'à la date de la présente Sentence.

ORDONNE à la Demanderesse de payer à la Défenderesse des intérêts sur les sommes stipulées aux paragraphes (m)-(n) ci-dessus au taux moyen annuel des obligations d'état turques libellées en dollars américains à compter de la date à laquelle la dette est devenue exigible et, si cette date n'est pas identifiable, à compter du 1er janvier de l'année suivant celle au cours de laquelle le paiement a été imposé, composés annuellement jusqu'à la date de la présente Sentence.

s. ORDONNE à la Défenderesse de payer à la Demanderesse des intérêts sur les sommes dues à la Défenderesse déduction faite de toutes les sommes dues par la Demanderesse à la Défenderesse, au taux moyen annuel des obligations d'état turques libellées en dollars américains, composés annuellement à compter de la date de la présente Sentence jusqu'au parfait paiement de la somme.

t. ORDONNE aux Parties de supporter à parts égales les frais de l'arbitrage tels que fixés par la Cour de la CCI, d'un montant de 1 810 000 dollars américains, chaque partie devant supporter les honoraires et débours de ses conseils, experts et témoins.

u. REJETTE toutes les demandes de conclusions défavorables de chacune des Parties.

8. The Republic of Türkiye filed an application to set aside the final award before this Court on 5 May 2023.

9. Pursuant to an Order made on 15 October 2024, the Appellate Judge in charge of the administration of the proceedings found inadmissible the application by the Republic or Iraq seeking the total annulment of the award.

10. The Public Prosecutor, as a joined party, filed a written opinion on 24 September 2025, giving the parties the opportunity to respond in writing.

11. The proceedings were closed on 25 November 2025 and the case was called to be heard on 9 December 2025, at which hearing counsels for the parties delivered their oral arguments, and the Public Prosecutor delivered observations.

12. The Public Prosecutor was given the opportunity to speak last, in compliance with Article 443 of the code de procédure civile.

II/ CLAIMS OF THE PARTIES

13. In its latest submissions, filed on 28 October 2025, the Republic of Türkiye asked this Court, pursuant to Articles 700 and 1520 of the code de procédure civile, to:

- partially SET ASIDE the arbitral award on the grounds of a breach of Article 1520 1° and 1520 4° with respect to paragraph 511 and to points (b), (d), (e) and (o) of paragraph 826 of the operative part of the award;

- partially SET ASIDE the arbitral award on the grounds of a breach of Article 1520 4° with respect to paragraphs 625, 659 and to points (b), (e) and (o) of paragraph 826 of the operative part of the award;

- ORDER the Republic of Iraq to pay all costs of the proceedings;

- ORDER the Republic of Iraq to pay to the Republic of Türkiye the sum of 300,000 euros in respect of irrecoverable costs as referred to in Article 700 of the code de procédure civile, not included in costs.

14. In its latest submissions, filed on 14 November 2025, the Republic of Iraq asked this Court, pursuant to Articles 695, 700, 1520.3° and 1520.4° of the code de procédure civile, to:

As its principal claim:

- DISMISS the application to partially set aside the award rendered on 13 February 2023 in the case CCI Nº 20273/AGF/ZF/AYZ/ELU;

In any case:

- DISMISS the Republic of Türkiye's claims in respect of irrecoverable expenses and costs;

- ORDER the Republic of Türkiye to pay the sum of 350,000 euros pursuant to Article 700 of the code de procédure civile; and

- ORDER the Republic of Türkiye to pay the costs of the proceedings pursuant to Article 695 of the code de procédure civile.

15. The Public Prosecutor asked this Court to find the appeal admissible and to dismiss the application to partially set aside the award.

16. The Court refers to these submissions and opinion for a complete overview of the parties' claims and defences, pursuant to Article 455 of the code de procédure civile.

III/ GROUNDS FOR THE DECISION

A. On the first ground to set aside the award, based on the failure by the arbitral tribunal to comply with its mandate

Claims and defences of the parties

17. The Applicant claims that the arbitral tribunal failed to comply with its mandate when it excluded French law as the law applicable to the merits, although the choice of French law had been made by the parties in the arbitration agreement, and the parties had consistently reaffirmed and applied such law during arbitration proceedings.

18. It contends that, under French law, the arbitral tribunal is bound to apply the law chosen by the parties, such obligation being also provided for under ICC Rules (2012) applicable to the disputed arbitral proceedings.

19. It invokes in this respect the reiteration of an agreement by the parties regarding the applicability of French law to the merits of the case, underlining that:

- Article 10 of the 2010 Amendment stipulates that the law applicable to the dispute is French law;

- during the arbitration proceedings, the parties reiterated their agreement regarding the applicability of French law to the merits of the case and applied such law, without expressing any disagreement, the matter under consideration being the application of international law in addition to French law, without excluding the latter;

- the arbitral tribunal itself acknowledged and incorporated such agreement, on one hand, by referring to French law as the law applicable to the merits, and not to the proceedings, and on the other hand, by indicating that in the case of jurisdiction, it would make a determination as to the 'rules' of law (and not as to 'the applicable law') which it should apply to 'the merits of the dispute';

- the said agreement between the parties was referred to on two occasions, in the award on jurisdiction and subsequently in the award challenged, the only matter remaining at issue being the potential extent of the application of international law as a complement to French law, the application of which was never called into question in regard to the merits;

- consequently to the adoption of the Terms of Reference, the parties consistently and repeatedly applied French law to the merits of the dispute, and both relied on French law to substantiate their respective claims, discussing in particular the non-performance exception, the Republic of Iraq not intending to substitute international law for French law in its submissions.

20. It considers that the decision on applicable law made by the arbitral tribunal was inconsistent with its mandate, insofar as:

- the arbitral tribunal made a decision to exclude French law, finding that international law must apply exclusively, finding that the ITP Agreements and the 2010 Amendment should be qualified as treaties;

- to this end, it brought up an ineffective and non-existing claim aimed at excluding French law on the grounds of an alleged disagreement regarding applicable law, although the agreement between the parties contained in the 2010 Amendment could not be unilaterally amended by the Republic of Iraq, no mutual agreement having been reached, and the parties having not sought the exclusion of French law before the tribunal;

- the arbitral tribunal acted in a contradictory and unjustified manner in excluding French law on the merits in the final award when it had acknowledged its applicability in the Terms of Reference and in the award on jurisdiction, disregarding the freedom of the parties to choose the applicable law;

- it also confused the law applicable to the merits and the law applicable to the proceedings, although the parties had provided for the ICC Rules of Arbitration to apply to the proceedings, thereby excluding French law, in accordance with case law and with French literature;

- the reasoning according to which French law should apply only to the proceedings on the grounds that Article 10 of the 2010 Amendment contains procedural details, or that the said Article is surrounded by details relating to the proceedings, such as the law of the seat and the law applicable to the arbitration agreement, is absurd and misrepresents the agreement between the parties;

- the principle of effectiveness, brought up by the Public Prosecutor, excludes any possibility for French law to be the law applicable to the proceedings;

- in disregarding its mandate, the arbitral tribunal deprived the Republic of Türkiye of a significant section of its defence, thereby causing it prejudice, the argument according to which a similar outcome would have been reached through the application of French law being moot, since the arbitral tribunal refused to apply it and was therefore unable to carry out any valid assessment thereof.

21. Regarding the partial setting-aside of the award, it submits that:

- the argument according to which the error by the arbitral tribunal in respect of applicable law would affect all the claims and result in the non-separability of the award is inaccurate;

- the extent of the action to set aside the award is contingent upon the limits of the referral to the Court of Appeal:

o French international arbitration law does not dictate that the action to set aside must extend to all the points in the operative part of the award;

o it may apply to certain provisions only, and such provisions will be removed from the French legal system if the motion to set aside is granted.

- partial setting aside is possible due to the separability of the points in the operative part of the judgment, regardless of the claim raised, the arbitral tribunal having, in this case, distinguished the sums payable to the Republic of Türkiye from those awarded to the Republic of Iraq;

- regarding performance - the sole criterion to be taken in consideration to determine whether or not non-separability exists - the unchallenged provisions may be implemented independently from those set aside;

- the Public Prosecutor opposes neither the possibility of a partial setting aside where the items in the operative part are separable, nor the separability of those items in this case, the claim raised being de facto moot.

22. The Respondent replied that the arbitral tribunal complied with its mandate in determining the law applicable to the merits of the dispute.

23. It argues as follows:

- the application to partially set aside the award lacks legal grounds as the decisions brought up by the Republic of Türkiye fail to corroborate the non-application of the law chosen by the parties;

- the Terms of Reference, executed by the parties and by the arbitral tribunal, expressly required the arbitral tribunal to determine the law applicable to the merits of the dispute;

- the parties disagreed on the matter of the law applicable throughout the arbitration proceedings:

o the issue of the law applicable to the merits was debated on several occasions without any agreement being reached, and the tribunal was only able to make a determination in respect thereof in the final award;

o the Republic of Türkiye changed its position on the law applicable on several occasions, acknowledging the application of French law and of international law to the merits of the proceedings as well as that of Iraqi law and of Turkish law in order to rule on certain matters;

o during the merits stage of the proceedings, the Republic of Türkiye raised a number of defences exclusively applicable under international law;

o in claiming that Iraq maintained that French law 'remained applicable to settle the dispute' and 'applied to the commercial aspects of the dispute', the Republic of Türkiye misrepresented the position of the Republic of Iraq, which reiterated its position that international law was the law applicable to the merits;

- in making a determination as to the issue of applicable law, the arbitral tribunal simply fulfilled its mandate, given the disagreement existing between the parties:

o the arbitral tribunal made a determination as to the issue of applicable law as expressly defined in the Terms of Reference;

o it provided a detailed analysis of the respective claims of the parties, highlighting the nature of their disagreement on applicable law;

o the argument raised by the Republic of Türkiye whereby the agreement by the parties to apply ICC Rules makes it impossible to contemplate that a different law may be applicable to the proceedings, is in contradiction with these very Rules, which explicitly acknowledge the possibility for the parties to choose the law applicable to the proceedings in the absence of any provision to that effect, as evidenced by the case law cited by the Republic of Türkiye;

o the law applicable to the proceedings cannot be reduced to the law of the seat.

- under the guise of a violation by the arbitrators of their mandate, the Republic of Türkiye is seeking a review by the Court of the choice made in the award, which can be seen as tantamount to a review on the merits, which it cannot obtain;

- the determination by the arbitral tribunal of the law applicable to the merits has not caused any prejudice to the Republic of Türkiye:

o French case law is unanimous in stipulating that failure by an arbitrator to comply with its mandate must have caused prejudice to the party which makes a claim in respect thereof;

o in this case, the solution adopted by the arbitral tribunal in respect of applicable law has had incidence neither on its conclusion that the Republic of Türkiye violated its obligations under the ITP Agreements, nor on its determination regarding damages.

- in any case, the claim for the partial setting-aside of the decision, relying on the failure by the arbitral tribunal to comply with its mandate is moot and must be dismissed, as it would affect the entirety of the award:

o legal doctrine accepts, as an essential requirement for partially setting aside any award, the separability of the part of the award affected by the claim from the rest of the award;

o in this case, the determination of applicable law is not separable, as a result of which it is impossible to separate any resulting claims;

o the limitation of the appeal and the inevitably broad scope of the claims are conflicting and irreconcilable facts, the Republic of Türkiye showing opportunism in seeking the setting aside of the award insofar as it is in favor of the Republic of Iraq, while seeking to preserve those parts of the awards that are in its favor.

24. The Public Prosecutor considers that:

- the arbitral tribunal was well within its authority in making a determination as to applicable law by seeking to understand the intent of the parties and by drawing inferences from their various submissions and memorials, as a disagreement seemed to exist between them as to the application of French law, of international law or of both, as of the date of adoption of the Terms of Reference;

- the arbitral tribunal validly exercised its discretion in inferring from the debates and exchanges between the parties, that French law was only applicable to the proceedings and not to the merits, the Applicant having failed to demonstrate that it went beyond its mandate.

Response by the Court

25. In accordance with Article 1520, 3°, of the code de procédure civile, the action to set aside the award is initiated where the tribunal has ruled without complying with the mandate entrusted to it.

26. Such mandate, as defined under the arbitration agreement, is mostly restricted to the scope of the dispute, which is in turn determined by the claims of the parties, without any need to rely exclusively on the issues listed in the Terms of Reference.

27. Pursuant to Article 1511 of the code de procédure civile, the arbitral tribunal has an obligation to settle the dispute in compliance with the rules of law chosen by the parties or, failing this, in compliance with any rules it deems appropriate, taking into account, in any case, any usual commercial practices.

28. If the parties fail to make a choice of law, the determination of the rules of law retained by the arbitrator to apply to the merits of the dispute is beyond the control of the judge making the setting-aside decision.

29. In this case, the Applicant claims that the arbitral tribunal failed to comply with the intent of the parties in ruling out the application of French law, chosen by them to be applied to the merits of their dispute.

30. Article 10 of the 2010 Amendment, on the grounds of which arbitral proceedings were initiated, stipulates the following (free translation provided by the Applicant, not challenged):

'If any conflict or disparity arises between the Parties about the implementation and interpretation of this Amendment or any other issue that is not specified in the Agreement during its validity period or thereafter, and if the conflict cannot be resolved through amicable discussions in 4 months starting from the date the negotiations begin, that conflict shall be resolved according to the arbitration rules of the International Chamber of Commerce. [...]

The arbitration place shall be Paris, France. The applicable law shall be French law. Arbitration language shall be English. [...]'

31. In its request for arbitration, the Republic of Iraq indicated, in paragraph 7.1: 'the merits of the dispute are governed by French law and international law' [« le fond du litige est régi par le droit français et le droit international »] (exhibit DEF-4).

32. The Terms of Reference, executed by the parties and by the members of the arbitral tribunal (exhibit DEF-6, paragraph 4.6) specify, regarding applicable law, that:

'The Claimant submits that the merits of the dispute are governed by French law and international law. Respondents submit that the rules of law to be applied by the Tribunal to the merits is an open question to be decided in this arbitration.'

The meaning of which is (free translation by the Court):

« La Demanderesse soutient que le fond du litige est régi par le droit français et le droit international. Les Défenderesses soutiennent que les règles de droit que le tribunal doit appliquer au fond du litige constituent une question ouverte qui doit être tranchée dans le cadre de cet arbitrage. »

33. It states, with respect to the issues to be determined (ibid., paragraph 7.2(b)), that:

'The issues to be determined shall be: [...]

(b) In the event the Tribunal decides to proceed with this case, the rules of law that the Tribunal shall apply to the merit of this dispute'

The meaning of which is (free translation by the Court):

« Les questions à trancher sont les suivantes : [...]

(b) Dans le cas où le Tribunal décide de donner suite à la présente affaire, les règles de droit que le Tribunal appliquera au fond du litige ».

34. In the award challenged, the arbitral tribunal studied the issue of applicable law.

35. Section IX of the award, titled: 'APPLICABLE LAW: FRENCH LAW, INTERNATIONAL LAW OR BOTH?' provides a reminder of the respective positions of the parties regarding this matter, stating that:

- their lack of specificity regarding the law applicable depending on the circumstances, already noted at the stage of examining the jurisdiction of the arbitral tribunal, continued into the merits stage of the proceedings;

- the arbitrators having requested additional information regarding this issue at the hearing on the merits, 'it became apparent that the parties no longer agreed that both French and international law applied' (award, § 282), the parties 'disagreeing whether the law applicable to the merits of this dispute is international law or French law (or both)' (ibid.,§ 284);

- the position of the Claimant State, as exposed during the hearing and in its post-hearing brief, is that the ITP Agreements constitute a treaty governed by the customary law of treaties, with the law of State responsibility applying to breaches and remedies, the law of contracts being inapplicable as regards, in particular, the suspension of contracts (ibid., §§ 285 to 287);

- the Respondent State considered that a change in position cannot call into question the agreement of the parties regarding the application of French law, the freedom of the parties permitting the submission of a treaty to domestic law, with French law and international law being capable of applying harmoniously, French law prevailing in the event of conflict (ibid., §§ 288 and 289).

36. Based on the above, confirmed by the documents of the arbitral procedure submitted into the record by the parties (transcript of the hearing and submissions exchanged), the tribunal considered, in essence, that the 1973 ITP Agreement, with its subsequent amendments and protocols, such as the 2010 Amendment, are treaties, and as such must be interpreted under international law which, subject to peremptory norms of jus cogens, does not prevent States from entering into treaties on such terms as they see fit (award, §§ 295 to 305). Having analysed Article 10 of the 2010 Amendment, in accordance with the principles of the Vienna Convention on the law of treaties, it found that the fact that this Amendment introduced a reference to the application of French law clearly meant that the parties intended for such law to be applicable to the arbitration proceedings, without altering, by inserting such provision in the arbitration clause, the rights and obligations arising from the Agreements (ibid., §§ 306 to 313). It drew the conclusion that the 2010 Amendment did not amend the governing law of the ITP Agreements, which continue to be governed by international law, while specifying that it would take into account the views of the parties in its analysis on the merits, 'particularly in relation to the Respondent's claims and defences' (ibid., § 315).

37. The Court notes, in this respect, that:

- Article 10 of the 2010 Amendment is ambiguous as to what French law, referred to therein, is declared to be applicable;

- since it is found in a clause governing dispute resolution ("Dispute Settlement"), it cannot be construed as inevitably applying to all the ITP Agreements, the parties having acknowledged that the said Agreements were, prior to the adoption of the Amendment, subject to international law;

- the positions adopted by the parties during the arbitration proceedings confirm such ambiguity, which the tribunal has highlighted in its award, as the analysis of their respective claims does not make it possible to conclude that there existed an irrevocable agreement between them as to the application of French law to the merits of the dispute;

- those positions, which evolved during the arbitral proceedings, cannot, at any rate, be interpreted as claims, but they seem more consistent with defences and arguments forming part of the debate between them on this point, as no formal application regarding the application of French law appears in the operative part of their respective briefs setting forth the claims submitted to the arbitral tribunal.

38. Therefore, having noted that the parties failed to reach an agreement regarding applicable law, the tribunal was well within its right to make resolve this debate by examining their common intent, the judge in charge of reviewing the award not being required to rule on the merits of the solution thus adopted, as this would otherwise disregard the principle of non-revision of awards.

39. The ground relying on failure by the arbitral tribunal to comply with its mandate is therefore found baseless and must be dismissed.

B. On the second ground to set aside the award based on the violation of the adversarial principle regarding applicable law

Claims and defences of the parties

40. The Applicant claims that:

- the parties have always been in agreement as to the application of the ICC Rules, and not of French law, to the proceedings, and the arbitral tribunal never brought the matter up for debate between the parties;

- the arbitral tribunal has raised on its own motion the applicability of French law to the proceedings in violation of the adversarial principle:

o the parties have never discussed the possibility for French law to be applicable exclusively to the proceedings, the exchanges and submissions referred to by the Republic of Iraq and the Public Prosecutor relating to the debate on the question of the law applicable to the merits and not to the proceedings;

o the decision by the arbitral tribunal to apply French law to the proceedings was not grounded on any of the arguments raised by the parties, the tribunal having made no reference to their submissions.

41. The Respondent considered that the arbitral tribunal had not disregarded the adversarial principle when making a determination as to applicable law, explaining that:

- the matter of the interpretation of the reference to French law was clearly a matter of debate between the parties and had to be settled by the arbitral tribunal:

o the arbitral tribunal only reached its conclusion after giving each of the parties multiple opportunities to substantiate their respective positions regarding applicable law;

o the Republic of Türkiye chose not to respond to the arguments brought forth by the Republic of Iraq although it had an opportunity to do so;

- the decision by the arbitral tribunal according to which French law was the lex arbitri cannot be deemed to be a violation of the adversarial principle:

o by arguing violation of the adversarial principle, the Republic of Türkiye is attempting to call into question the reasoning of the arbitral tribunal;

o it can hardly argue that the arbitral tribunal violated the adversarial principle by making a determination as to the interpretation of the reference to French law as 'applicable law' in Article 10 of the 2010 Amendment, following more than six years of debate between the parties.

- in any case, the partial setting-aside claim is moot regarding the violation of the adversarial principle in respect of applicable law.

42. The Public Prosecutor is of the opinion that:

- the debate on applicable law has been the subject of exchanges between the parties during the arbitration proceedings;

- the arbitral tribunal has, with good reason, sought to establish the actual intent of the parties, by virtue of the principle of effectiveness of the arbitration agreement;

- pursuant to case law, the arbitral tribunal is not required to inform the parties of the rules of law which it intends to apply so that they may be discussed in an adversarial setting, nor so that a new adversarial debate may take place where the tribunal has elicited a discussion regarding the matter at hand;

- in this case, having organised a debate on contentious issues and interrogated the parties, the arbitral tribunal has made a record of their statements and analysed their positions in accordance with its mandate, in compliance with the adversarial principle.

Response of the Court

43. Article 1520, 4° of the code de procédure civile, provides for an action to set aside the award is initiated where the adversarial principle has not been observed.

44. This principle only dictates that the parties have been given the opportunity to debate on any defences invoked and exhibits produced in an adversarial setting, to disclose their factual and legal claims, and to discuss those of the other party, so that nothing that served as a basis for the arbitrators' decision fails to be scrutinised in their adversarial debate.

45. The arbitral tribunal is not required to submit to the parties the legal reasoning underlying the award prior to its delivery. However, it may not base its decision on factual or legal grounds which were not raised.

46. The adversarial principle is meant to ensure loyalty in the debates and guarantee the fairness of the proceedings. It prohibits in particular the raising of factual or legal grounds of its own motion without the parties having been invited to comment thereon. The arbitrator may, however, draw inferences from a fact in the course of the debates, or interpret any evidence presented in the course of the proceedings, even where the parties have not considered such facts or evidence as critical, without being deemed to have raised an argument on his own motion.

47. It can be inferred from the foregoing that the issue of applicable law gave rise to a substantive debate between the parties, both during the stage of examining jurisdiction and during the stage leading to the delivery of the award subject to this appeal.

48. Although, as noted by the Applicant, the debate has focused on the application of French law to make a determination as to the merits of the case, still its purpose was to determine the scope of the phrase, introduced in Article 10 of the 2010 Amendment, reading as follows: 'The applicable law shall be French law'.

49. The following is observed in respect of the above:

- during the first stage of the arbitration, the arbitral tribunal expressly invited the parties to express their views on the meaning which should be ascribed to that provision;

- echoing the ensuing debate, it stated, in its award on jurisdiction, (§166) that:

'Article 10 of the 2010 Amendment does not unambiguously specify to what aspect(s) of the case French law was intended to apply'.

The meaning of which is (free translation by the Court):

"L'article 10 de la modification de 2010 ne précise pas clairement à quel(s) aspect(s) de l'affaire le droit français était censé s'appliquer".

- Since the determination of this question was deferred to the second stage of the arbitration, the parties had ample opportunity to debate on the matter before the arbitral tribunal prior to the handing down of the challenged award, the Republic of Iraq claiming, in particular, in its post-hearing submission of 2 August 2019 (exhibit DEF-12) that:

"The choice available to the contracting parties is further limited to the extent that any given domestic law is inappropriate or ineligible to address a given matter. Since domestic law - including French domestic law - does not contain any rules governing the validity, termination or suspension of treaties or the consequences of their breach, these matters are necessarily governed by international law, as Iraq has explained. This does not mean that Iraq's position 'leaves no room for the application of French law at all', as Türkiye would have it. [...] French law also provides the general framework for dispute settlement, and may fill in lacunae in the context of the commercial aspects of the contracting parties' relations.'

The meaning of which is (free translation by the Court):

« Le choix dont disposent the parties contractantes est en outre limité dans la mesure où toute loi nationale donnée est inappropriée ou inapplicable pour traiter une question donnée. Étant donné que le droit national - y compris le droit national français - ne contient aucune règle régissant la validité, la résiliation ou la suspension des traités ou les conséquences de leur violation, ces questions sont nécessairement régies par le droit international, comme l'a expliqué l'Irak. Cela ne signifie pas que la position de l'Irak « ne laisse aucune place à l'application du droit français », comme le prétend la Turquie. [...] Le droit français fournit également le cadre général du règlement des différends et peut combler les lacunes dans le contexte des aspects commerciaux des relations entre les parties contractantes. » (underlining added)

50. The issue of the scope of Article 10 of the 2010 Amendment, including its application to the arbitration proceedings, was therefore subject to debate and, as a result, it cannot be inferred that the arbitral tribunal disregarded the adversarial principle.

51. Consequently, the argument brought forth by the Applicant in support of this claim cannot be held to be valid.

C. On the third ground to set aside the award based on the violation of the adversarial principle as a result denying the submission of material evidence essential to the defence of one of the parties

Claims and defences of the parties

52. The Applicant claims that the arbitral tribunal disregarded the adversarial principle by denying the submission of material evidence essential to its defence, specifically:

- certain claims for indemnity on the grounds of violation of the ITP Agreements submitted by the Republic of Iraq relied on the assumption that the prices practiced by the FGI were allegedly higher than those practiced by the KRG as a result of a discount granted by the latter, which the Republic of Türkiye denied;

- in order for Türkiye to organise its defence efficiently - and for the Tribunal to be in a position to make a determination - as to the existence of such a discount, it was essential to consider the prices effectively obtained by SOMO during the period of reference;

- yet, the tribunal denied without any justification the application filed by the Republic of Türkiye for the production of documents in respect of the above, considering that the said application 'lacked sufficient relevance with regard to the disputed matters';

- in its award, it radically changed its stance and recorded the existence of a discount on the basis of two incomplete exhibits produced belatedly by Iraq, while acknowledging that it '[did] not have evidence before it regarding [...] any discount that might have been applied during the relevant period', and it found Türkiye liable for the prejudice incurred;

- it thus made a determination relying exclusively on documents selected and chosen by the Republic of Iraq, of a similar nature as the documents which the Republic of Türkiye had sought to produce, but more narrow in scope, and to which only the Republic of Iraq had access;

- in so doing, it deprived the Republic of Türkiye of access to documents essential to its defence and disregarded the adversarial principle.

53. The Respondent replied that the arbitral tribunal had not disregarded the adversarial principle, nor had it deprived the Republic of Türkiye of the possibility to defend itself, since:

- at the time when the arbitral tribunal dismissed the request for the production of documents filed by the Republic of Türkiye regarding the said price information, the matter of the oil prices practiced by the FGI was not a disputed matter between the parties;

- the arbitral tribunal correctly determined, in its sole discretion that such documents lacked sufficient relevance to be instrumental in the outcome of the dispute;

- the parties have debated at length on the issue of the difference in the prices practiced by the KRG and those practiced by SOMO during the merits stage of the arbitration proceedings, giving the Republic of Türkiye the opportunity to submit arguments in defence in that respect, as well as any evidence in its possession;

- the Republic of Türkiye has failed to demonstrate the essential nature of the documents which it alleges it was prevented from producing, since it already had in its possession all the information which the said documents were supposed to reveal;

- raising its arguments ex post only makes plain that its intention is to seek a review of the award on the merits;

- the Republic of Türkiye has failed to demonstrate that the arbitral tribunal made a determination exclusively on the basis of the data provided by the Republic of Iraq.

54. The Public Prosecutor considered that the arguments submitted by the Republic of Türkiye are not sufficient to demonstrate a breach of the adversarial principle.

Response by the Court

55. The adversarial principle, the non-compliance with which is sanctioned by Article 1520, 4°, only dictates that the parties should be given the opportunity to debate on any defences invoked and exhibits produced in an adversarial setting, to state their factual and legal claims, and to discuss those of the other party, so that nothing that served as a basis for the arbitrators' decision fails to be scrutinised in their adversarial debate.

56. It does not make it compulsory for the arbitral tribunal to accept any request for the forced production of exhibits, and the arbitrators may, without acting in breach of the said principle, appreciate the relevance of such a measure.

57. The mere exercise of the power vested in the arbitral tribunal to grant or deny any application to produce exhibits is not sufficient to characterise a breach of the rights of the defence, and the judge in charge of reviewing the award is not required to assess the validity of the grounds on which the arbitral tribunal relied in determining that the production of any given document is not relevant to the debates.

58. In this case, in 2017, the Republic of Türkiye submitted to the arbitral tribunal several applications for the production of documents, one of which read as follows:

'(a) Crude oil sales agreements between the FGI (or its agents or representatives) and third party purchasers for the crude oil delivered by the FGI through Ceyhan Terminal;

(b) corresponding shipping documents;

(c) documents showing the deposit of the sales proceeds on the OPRA/DFI accounts;

(d) documents showing the corresponding credits in the Iraq Ministry of Finance Account at the Central Bank of Iraq in Baghdad; and

(e) documents showing corresponding payments to the KRG and/or contractors engaged in the production of crude oil in the KRI.' (exhibit DEF-14, free translation)

59. It justified such request by stating that:

'These categories of documents are relevant to establish (i) who is listed as the seller of the crude oil, (ii) whether the proceeds were in fact deposited in the OPRA/DFI accounts, as Iraq claims would have been done, and (iii) the price at which the crude oil was sold, which is relevant to Iraq's claim that the KRG has been selling crude oil at a "significant discount"' (ibid.)

60. The arbitral tribunal dismissed such claim on the grounds that "it lacked sufficient relevance to the issues in dispute" (ibid.).

61. In examining the issue of a 'Discounted Sales Price', in the award challenged, it '[submitted] that the KRG sold its oil at a lower price than SOMO" and found that "the Respondent is liable to compensate the Claimant for the discount applied to any of the KRG's oil that would have been sold by SOMO, had the Respondent not breached the ITP Agreements' (award §§ 609 and 625, translation provided by the Applicant, corrected by the Court).

62. The Applicant objected that it had claimed, in paragraph 607 of the award, that it '[did] not have evidence before it regarding the actual sales prices agreed by the KRG for individual sales or any discount that might have been applied during the relevant period' and that it had relied exclusively on documents produced by the Republic of Iraq, namely a contract entered into with a Turkish oil refinery as well as SOMO sales data in respect of the first six months of 2017, whereas its request for production of documents was aimed at obtaining broader documents, which led the arbitrators to find, in paragraph 608 of the award, that it was 'reasonable to conclude that the KRG sold its oil at a discount to the fair market value'.

63. The Court noted that, following the 2017 ruling by the arbitral tribunal on the production of documents, the parties and their experts debated on the issue of the difference between the prices practiced by the KRG and those practiced by SOMO. This point was discussed during the hearings on the merits of April and September 2019, and dealt with in the post-hearing submissions of the parties, without the Applicant requesting that the arbitral tribunal reconsider its stance. A reference to such debates was made in the award, in stating that:

'There is, however, some reported data on KRG sales. Both parties were able to extrapolate the reported data available to them and estimate that the KRG received around USD 27 billion from oil sales between May 2014 and September 2018. This figure is lower than the estimate of the fair market value of the oil, as calculated by [the experts]' (award, § 607)

and by referring to the experts' slides and presentations during the hearing on the merits (footnotes relating to this paragraph).

64. It follows from those findings that the issue of price differences and the evidence required to establish the existence thereof and to assess them was duly within the debate, and the Applicant cannot, by arguing a violation of the adversarial principle, suggest that the judge in charge of reviewing the award revise the reasoning of the arbitrators on that point.

65. Therefore, the third ground to set aside the award is unfounded.

66. Since none of the grounds relied on by the Applicant has been deemed valid, the action to set aside the award filed by the Republic of Türkiye is hereby dismissed.

D. On legal costs

67. Its appeal being dismissed, the Court orders the Republic of Türkiye to pay the costs of the proceedings, and dismisses its claims on the grounds of Article 700 of the code de procédure civile.

68. Pursuant to the above Article, it is hereby ordered to pay to the Republic of Iraq the sum of 200,000 Euros.

IV/ JUDGEMENT

On these grounds, the Court:

1) Dismisses the application filed by the Republic of Türkiye to partially set aside the award rendered on 13 February 2023 in the case CCI n° 20273/AGF/ZF/AYZ/ELU;

2) Orders the Republic of Türkiye to pay the costs of the proceedings;

3) Pursuant to Article 700 of the code de procédure civile, it dismisses the application filed by the Republic of Türkiye to sentence the Respondent, and orders it to pay to the Republic of Iraq the sum of two hundred thousand Euros (€200,000).

I/ FAITS ET PROCEDURE

1. La cour est saisie d'un recours en annulation contre une sentence arbitrale finale rendue à Paris, le 13 février 2023, sous l'égide de la Chambre de commerce internationale, dans une affaire (CCI n° 20273/AGF/ZF/AYZ/ELU) opposant la République de Turquie (« la Recourante ») à la République d'Irak (« la Défenderesse au recours »).

2. Le différend à l'origine de cette décision porte sur l'utilisation d'infrastructures pétrolières pour le transport, le stockage et le chargement du pétrole irakien dans le cadre d'un accord conclu entre les parties, ainsi que sur le paiement de diverses redevances et dépenses engendrées par l'exécution de cet accord.

3. En 1973, la République d'Irak et la République de Turquie ont conclu un accord relatif à la construction, à l'entretien et à l'exploitation d'un oléoduc (ci-après, « l'Accord de 1973 »). Cet accord a été complété par un Protocole signé en 1976, précisant les engagements respectifs des parties, puis par un Avenant, en 1985, et un Amendement de 2010 modifiant notamment la clause de règlement des différends. Cet ensemble contractuel est identifié par les parties sous la dénomination « Accords oléoduc entre l'Irak et la Turquie » ou « Accords OIT » ("ITP Agreements" dans la sentence querellée). Il prévoit la construction de deux oléoducs reliant Kirkouk, dans le nord de l'Irak, à Ceyhan, au sud de la Turquie, et détaille les modalités d'exploitation des différentes installations de transport, de stockage et de chargement du pétrole brut.

4. Soutenant qu'à partir du mois de décembre 2013, la République de Turquie aurait permis au pétrole brut du gouvernement régional du Kurdistan de circuler dans les oléoducs sans le consentement du ministère irakien du pétrole, violant ainsi les Accords OIT, la République d'Irak a, le 23 mai 2014, initié une procédure d'arbitrage sur le fondement de l'article 10 de l'Amendement de 2010.

5. Le 16 juin 2016, le tribunal arbitral a rendu une sentence partielle sur la compétence jugeant que :

"a. The Claimant's claims under the ITP Agreements are arbitrable.

b. The Claimant's claims under the ITP Agreements fall within the scope of the arbitration agreement.

c. The tribunal does not have jurisdiction ratione materiae over the Claimant's claims under the 1946 Treaty.

d. The tribunal does not have jurisdiction ratione personae over BOTAS.

e. All other requests and claims, including claims for costs, are reserved for a further award. "

6. Par sentence sur le fond du 13 février 2023, objet du présent recours, le tribunal arbitral a statué en ces termes :

« a. CONFIRMS the findings set out in paragraph 303 of the Partial Award on Jurisdiction dated 16 June 2016 (which findings are attached as Dispositive Exhibit 1).

b. DECLARES that the Respondent has breached Articles 3 and 7 of the 1976 Protocol and Article 2.3 of the 2010 Amendment by loading Iraqi oil at Ceyhan in breach of instructions issued by the Iraqi Ministry of Oil since 21 May 2014.

c. DECLARES that the Respondent has breached Article 4.4 of the 2010 Amendment by denying Iraqi personnel access to the Iraqi office at the Ceyhan port facility between January and March 2014.

d. ORDERS that the Respondent shall load all oil in the storage tanks at Ceyhan as at the date of this Award in accordance with the instructions of the Iraqi Ministry of Oil, as required by the ITP Agreements.

e. DECLARES that the Respondent is liable to pay the Claimant forthwith compensation in the amount of USD 1,997,976,023.50 (one billion, nine hundred and ninety-seven million, nine hundred and seventy-six thousand and twenty-three US dollars and fifty cents) as a result of the breaches set out in (b) and (c) above.

f. DISMISSES the Claimant's claims for breach of Article 2.4 of the 2010 Amendment in relation to the exclusive use of the Pipelines.

g. DECLARES that a situation of force majeure existed in the Republic of Iraq between 1 March 2003 and 31 July 2007, such that the Claimant was excused from performing its Minimum Guaranteed Throughput obligations under the 1985 Addendum between these dates.

h. DECLARES that the Respondent is credited the sum of USD 67,607,024.62 (sixty-seven million, six hundred and seven thousand and twenty-four US dollars and sixty-two cents) for Minimum Guaranteed Throughput fees payable by the Claimant between 27 July 2011 and 31 December 2013, in accordance with article 3.2 of the 2010 Amendment, such amount to be set off against the Respondent's liability in (e) above.

i. DECLARES that the Claimant breached article 2.7 of the 1985 Addendum between 1 August 2007 and 26 July 2011 and is liable to pay the Respondent USD 281,337,301.50 (two hundred and eighty-one million, three hundred and thirty-seven thousand, three hundred and one US dollars and fifty cents) as a result of this breach, such amount to be set off against the Respondent's liability in (e) above.

j. DECLARES that the Claimant is liable to pay the Respondent USD 58,000,000.00 (fifty-eight million US dollars) in respect of outstanding transportation fees from 1990, such amount to be set off against the Respondent's liability in (e) above.

k. DECLARES that the Claimant is liable to pay the Respondent USD 70,676,675.27 (seventy million, six hundred and seventy-six thousand, six hundred and seventy-five US dollars and twenty-seven cents) in respect of underpaid transportation fees from 1990, such amount to be set off against the Respondent's liability in (e) above.

l. DECLARES that the Claimant is liable to pay the Respondent USD 46,253,517.75 (forty-six million, two hundred and fifty-three thousand, five hundred and seventeen US dollars and seventy-five cents) in respect of outstanding transportation fees from 2003-2007, such amount to be set off against the Respondent's liability in (e) above.

m. DECLARES that the Claimant is liable to pay the Respondent USD 2,071,739.00 (two million, seventy-one thousand, seven hundred and thirty-nine US dollars) for reimbursement of expenses incurred by Iraqi personnel at Ceyhan, such amount to be set off against the Respondent's liability in (e) above.

n. DECLARES that the Claimant is liable to pay the Respondent USD 639,279.31 (six hundred and thirty-nine thousand, two hundred and seventy-nine US dollars and thirty-one cents) for reimbursement of expenses relating to equipment, such amount to be set off against the Respondent's liability in (e) above.

d. ORDONNE à la Défenderesse de charger tout le pétrole existant dans les réservoirs de Ceyhan à la date de la présente Sentence conformément aux instructions du ministère du Pétrole Irakien, comme l'exigent les accords ITP.

e. DÉCLARE que la Défenderesse est immédiatement redevable à la Demanderesse d'une indemnisation d'un montant de 1 997 976 023,50 dollars américains (un milliard neuf cent quatre-vingt-dix-sept millions neuf cent soixante-seize mille vingt-trois dollars américains et cinquante centimes) en conséquence des violations énoncées en (b) et (c) ci-dessus.

f. REJETTE le grief de violation de l'article 2.4 de l'Avenant de 2010 en lien avec l'usage exclusif des Oléoducs, exposé par la Demanderesse.

g. DÉCLARE qu'une situation de force majeure a existé en République d'Irak entre le 1er mars 2003 et le 31 juillet 2007, de nature à dispenser la Demanderesse d'exécuter ses obligations de Débit Minimal Garanti aux termes de l'Addendum de 1985 entre lesdites dates.

h. DÉCLARE l'attribution au profit de la Défenderesse de la somme de 67 607 024,62 dollars américains (soixante-sept millions six cent sept mille vingt-quatre dollars américains et soixante-deux centimes) au titre des redevances de Débit Minimal Garanti payables à la Demanderesse entre le 27 juillet 2011 et le 31 décembre 2013, conformément à l'article 3.2 de l'Avenant de 2010, à déduire de la sommes dont la Défenderesse est redevable, tel qu'indiqué en (e) ci-dessus.

i. DÉCLARE que la Demanderesse a violé l'article 2.7 de l'Addendum de 1985 entre le 1er août 2007 et le 26 juillet 2011 et est redevable à la Défenderesse de la somme de 281 337 301,50 dollars américains (deux cent quatre-vingt-un millions, trois cent trente-sept mille, trois cent un dollars américains et cinquante centimes) en conséquence de ladite violation, à déduire de la somme dont la Défenderesse est redevable, tel qu'indiqué en (e) ci-dessus.

j. DÉCLARE que la Demanderesse est redevable à la Défenderesse de la somme de 58 000 000,00 dollars américains (cinquante-huit millions de dollars américains) au titre des redevances de transport impayées à compter de 1990, à déduire de la somme dont la Défenderesse est redevable, tel qu'indiqué en (e) ci-dessus.

m. DÉCLARE que la Demanderesse est redevable à la Défenderesse de la somme de 2 071 739,00 dollars américains (deux millions, soixante et onze mille, sept cent trente-neuf dollars américains) au titre du remboursement des dépenses exposées par le personnel irakien à Ceyhan, à déduire de la somme dont la Défenderesse est redevable, tel qu'indiqué en (e) ci-dessus.

n. DÉCLARE que la Demanderesse est redevable à la Défenderesse de la somme de 639 279,31 dollars américains (six cent trente-neuf mille, deux cent soixante-dix-neuf dollars américains et trente-et-un centimes) au titre du remboursement des dépenses en lien avec l'équipement, à déduire de la somme dont la Défenderesse est redevable, tel qu'indiqué en (e) ci-dessus.

o. ORDONNE à la Défenderesse de verser sans délai à la Demanderesse la somme de 1 471 390 486,05 dollars américains, déduction faite des sommes en (e) et (h)-(n) ci-dessus, sous réserve des ajustements nécessaires à la prise en compte des intérêts.

p. ORDONNE à la Défenderesse de payer à la Demanderesse des intérêts sur la somme stipulée au paragraphe (e) ci-dessus au taux annuel moyen des obligations turques libellées en dollars américains à compter du 1er janvier de l'année suivant celle au titre de laquelle le paiement a été imposé, composés annuellement jusqu'à la date de la présente Sentence.

q. ORDONNE à la Défenderesse de payer à la Demanderesse des intérêts sur les sommes stipulées aux paragraphes (i)-(l) ci-dessus, au taux annuel moyen des obligations d'état turques libellées en dollars américains à compter du 1er janvier de l'année suivant celle au titre de laquelle le montant a été imposé, composés annuellement jusqu'à la date de la présente Sentence.

r. ORDONNE à la Demanderesse de payer à la Défenderesse des intérêts sur les sommes stipulées aux paragraphes (m)-(n) ci-dessus au taux moyen annuel des obligations d'état turques libellées en dollars américains à compter de la date à laquelle la dette est devenue exigible et, si cette date n'est pas identifiable, à compter du 1er janvier de l'année suivant celle au cours de laquelle le paiement a été imposé, composés annuellement jusqu'à la date de la présente Sentence.

s. ORDONNE à la Défenderesse de payer à la Demanderesse des intérêts sur les sommes dues à la Défenderesse déduction faite de toutes les sommes dues par la Demanderesse à la Défenderesse, au taux moyen annuel des obligations d'état turques libellées en dollars américains, composés annuellement à compter de la date de la présente Sentence jusqu'au parfait paiement de la somme.

t. ORDONNE aux Parties de supporter à parts égales les frais de l'arbitrage tels que fixés par la Cour de la CCI, d'un montant de 1 810 000 dollars américains, chaque partie devant supporter les honoraires et débours de ses conseils, experts et témoins.

u. REJETTE toutes les demandes de conclusions défavorables de chacune des Parties.

v. REJETTE toutes les autres demandes dans le cadre du présent arbitrage. »

8. La République de Turquie a formé un recours en annulation contre la sentence finale devant la cour de céans le 5 mai 2023.

9. Par ordonnance du 15 octobre 2024, le conseiller de la mise en état a déclaré irrecevable la demande de la République d'Irak visant à prononcer l'annulation totale de la sentence.

10. Le ministère public, partie jointe, a déposé son avis écrit le 24 septembre 2025, les parties ayant eu la possibilité d'y répondre par écrit.

11. La clôture a été prononcée le 25 novembre 2025 et l'affaire appelée à l'audience de plaidoirie du 9 décembre 2025 au cours de laquelle les conseils des parties ont été entendus en leurs plaidoiries et le ministère public a été entendu en ses observations.

12. Le ministère public a eu la parole en dernier, conformément à l'article 443 du code de procédure civile.

II/ PRETENTIONS DES PARTIES

13. Dans ses dernières conclusions déposées le 28 octobre 2025, la République de Turquie demande à la cour, au visa des articles 700 et 1520 du code de procédure civile, de :

- ANNULER partiellement la sentence arbitrale pour violation de l'article 1520 1° et 1520 4° concernant le paragraphe 511 et les chefs de décision (b), (d), (e) et (o) du paragraphe 826 du dispositif;

- ANNULER partiellement la sentence arbitrale pour violation de l'article 1520 4° concernant les paragraphes 625, 659 et les chefs de décision (b), (e) et (o) du paragraphe 826 du dispositif;

- CONDAMNER la République d'Irak aux entiers dépens;

- CONDAMNER la République d'Irak à verser à la République de Turquie la somme de 300 000 euros au titre des frais irrépétibles visés à l'article 700 du code de procédure civile non compris dans les dépens.

14. Dans ses dernières conclusions déposées le 14 novembre 2025, la République d'Irak demande à la cour, au visa des articles 695, 700, 1520.3° et 1520.4° du code de procédure civile, de:

À titre principal :

- REJETER le recours en annulation partielle dirigé contre la sentence rendue le 13 février 2023 dans l'affaire CCI n° 20273/AGF/ZF/AYZ/ELU ;

En tout état de cause :

- DÉBOUTER la République de Turquie de ses demandes formées au titre des frais irrépétibles et des dépens;

- CONDAMNER la République de Turquie au paiement de la somme de 350 000 euros au titre de l'article 700 du code de procédure civile ; et

- CONDAMNER la République de Turquie aux entiers frais et dépens au titre de l'article 695 du code de procédure civile.

15. Le ministère public invite la cour à déclarer le recours recevable et à rejeter la demande d'annulation partielle.

16. La cour renvoie à ces conclusions et avis pour le complet exposé des moyens et arguments des parties, en application de l'article 455 du code de procédure civile.

III/ MOTIFS DE LA DECISION

A. Sur le premier moyen d'annulation tiré du non-respect par le tribunal de sa mission

Moyens des parties

17. La Recourante fait grief au tribunal arbitral d'avoir méconnu sa mission en écartant le droit français comme droit de fond, alors que ce droit avait été choisi par les parties dans la convention d'arbitrage et constamment réaffirmé et appliqué par elles au cours de l'instance arbitrale.

18. Elle fait valoir que le droit français impose au tribunal arbitral de respecter le droit choisi par les parties, cette obligation étant également prévue par le Règlement CCI (2012) applicable à la procédure arbitral litigieuse.

19. Elle invoque à ce titre l'existence d'un accord réitéré des parties sur l'applicabilité du droit français quant au fond, en exposant que :

- l'article 10 de l'Amendement de 2010 stipule que le droit applicable au litige est le droit français;

- durant l'arbitrage, les parties ont réitéré leur accord sur l'applicabilité du droit français au fond et appliqué ce droit, sans faire état de désaccord, la question posée étant celle de l'application du droit international en sus du droit français, sans exclusion de ce dernier;

- le tribunal arbitral a lui-même constaté et intégré cet accord, d'une part, en visant le droit français comme le droit applicable au fond, et non à la procédure, d'autre part, en indiquant qu'en cas de compétence, « il déterminerait les « règles» de droit (et non pas « le droit applicable ») qu'il devrait appliquer « au fond du litige»;

- cet accord des parties a été relevé à deux reprises, dans la sentence sur la compétence puis dans la sentence querellée, la seule question résiduelle portant sur la place éventuelle du droit international en complément du droit français, dont l'application au fond n'a jamais été remise en cause;

- à la suite de l'Acte de mission, les parties ont réitéré avec constance l'application du droit français au fond du litige, et se sont toutes deux basées sur le droit français pour fonder leurs prétentions respectives, en débattant notamment de l'exception d'inexécution, la République d'Irak n'entendant pas substituer le droit international au droit français dans ses écritures.

20. Elle considère que le tribunal arbitral a statué sur le droit applicable sans se conformer à sa mission, en ce que :

- le tribunal arbitral a décidé d'exclure le droit français au profit exclusif du droit international, en jugeant que les Accords OIT et l'Amendement de 2010 devaient être qualifiés de traités ;

- il a, pour ce faire, usé d'un prétexte inopérant et inexistant pour écarter le droit français en considérant qu'un désaccord existait sur le droit applicable alors que l'accord des parties contenu dans l'Amendement de 2010 ne pouvait être modifié unilatéralement par la République d'Irak, aucun accord mutuel n'étant intervenu, les parties n'ayant pas non plus sollicité du tribunal arbitral l'exclusion du droit français;

- le tribunal arbitral a agi de manière contradictoire et injustifiée en écartant le droit français au fond dans la sentence finale alors qu'il l'avait reconnu dans l'Acte de mission et dans la décision sur la compétence, méconnaissant ainsi la liberté des parties de choisir le droit applicable;

- il a également confondu droit applicable au fond et droit applicable à la procédure, alors que les parties avaient choisi le Règlement d'arbitrage CCI pour la procédure, ce qui exclut que le droit français y soit applicable, conformément à la jurisprudence et à la doctrine française;

- le raisonnement selon lequel le droit français serait limité à la procédure parce que l'article 10 de l'Amendement de 2010 contient des détails procéduraux ou encore parce que ledit article est entouré de détails relatifs à la procédure, tels que le droit du siège et le droit applicable à la convention d'arbitrage, est aberrant et dénature l'accord des parties;

- le principe de l'effet utile, relevé par le ministère public, exclut que le droit français soit le droit applicable à la procédure ;

- en méconnaissant sa mission, le tribunal arbitral a privé la République de Turquie d'un pan substantiel de sa défense, lui causant préjudice, l'argument selon lequel l'application du droit français aurait abouti à la même solution étant par ailleurs dénué de toute valeur, dès lors que le tribunal arbitral a refusé de l'appliquer et donc de l'analyser valablement.

21. Elle soutient sur l'annulation partielle de la sentence que :

- l'argument selon lequel l'erreur du tribunal arbitral sur le droit applicable impacterait l'ensemble des griefs et rendrait la sentence indivisible est inexact;

- l'étendue de l'annulation dépend des limites de la saisine de la cour d'appel :

o le droit français de l'arbitrage international n'impose pas que le recours en annulation porte sur l'ensemble des chefs de décision de la sentence;

o il peut viser seulement certaines dispositions, qui seront alors exclues de l'ordre juridique français si l'annulation est admise.

- l'annulation partielle est possible en raison de la divisibilité des chefs de décision, indépendamment du grief soulevé, le tribunal arbitral ayant, en l'espèce, distingué les sommes revenant à la République de Turquie de celles attribuées à la République d'Irak;

- du point de vue de l'exécution, seul critère à prendre en considération pour apprécier l'indivisibilité, les dispositions non contestées pourront être mises en œuvre indépendamment de celles annulées ;

- le ministère public ne conteste ni la possibilité d'une annulation partielle lorsque les chefs de dispositif sont divisibles, ni le caractère divisible de ces chefs en l'espèce, le grief invoqué étant de fait inopérant.

22. La Défenderesse au recours répond que le tribunal arbitral s'est conformé à sa mission lorsqu'il a procédé à la détermination du droit applicable au fond du litige.

23. Elle fait valoir que :

- la demande d'annulation partielle de la sentence est infondée en droit, les décisions mises en avant par la République de Turquie n'étayant en rien l'argument de la non-application de la loi choisie par les parties;

- l'Acte de mission, signé par les parties et par le tribunal arbitral, imposait expressément au tribunal arbitral de déterminer le droit applicable au fond du litige;

- les parties ont divergé sur le droit applicable tout au long de l'arbitrage:

o la question du droit applicable au fond a été débattue à diverses reprises sans qu'un accord aboutisse, le tribunal n'ayant pu trancher cette question que dans la sentence finale;

o la République de Turquie a modifié à plusieurs reprises sa position quant au droit applicable, reconnaissant l'application du droit français et du droit international au fond de la procédure ainsi que celle du droit irakien et du droit turc pour trancher certaines questions;

o la République de Turquie a, au cours de la phase sur le fond, soulevé des moyens de défense applicables uniquement en vertu du droit international;

o en affirmant que l'Irak aurait soutenu que le droit français « demeurait applicable pour trancher le différend » et « s'appliquait aux aspects commerciaux du litige », la République de Turquie a dénaturé la position de la République d'Irak qui réaffirmait sa position selon laquelle le droit international était le droit applicable au fond;

- en se prononçant sur la question du droit applicable, le tribunal arbitral n'a fait que remplir sa mission, compte tenu du désaccord prévalant entre les parties :

o le tribunal arbitral a tranché la question du droit applicable tel qu'expressément défini par l'Acte de mission;

o il a fourni une analyse détaillée des prétentions respectives des parties mettant en lumière la nature de leur désaccord sur le droit applicable;

o l'argument de la République de Turquie selon lequel le choix des parties de voir appliquer le Règlement CCI ne permettrait pas de considérer qu'une autre loi pourrait être applicable au titre de la procédure, est contredit par le Règlement lui-même qui reconnait expressément aux parties la possibilité de choisir le droit applicable à la procédure dans le silence de ce dernier, ce que confirme la jurisprudence citée par la République de Turquie ;

o le droit applicable à la procédure ne saurait pas davantage être réduit au droit du siège.

- sous couvert de la violation par les arbitres de leur mission, la République de Turquie sollicite le contrôle par la cour du choix retenu dans la sentence, s'apparentant ainsi à une révision au fond, ce qu'elle ne peut obtenir ;

- la détermination par le tribunal arbitral du droit applicable au fond n'a porté aucun préjudice à la République de Turquie :

o la jurisprudence française est unanime et stipule que le non-respect par l'arbitre de sa mission doit avoir causé un préjudice à la partie qui s'en prévaut ;

o en l'espèce, la solution retenue par le tribunal arbitral sur le droit applicable n'a eu d'incidence ni sur sa conclusion selon laquelle la République de Turquie avait violé ses obligation au titre des Accords OIT, ni sur sa détermination des dommages-intérêts.

- en tout état de cause, le grief d'annulation partielle au titre d'un manquement du tribunal arbitral à sa mission est inopérant et doit être rejeté, en ce qu'il affecterait l'intégralité de la sentence:

o la doctrine admet comme condition essentielle de l'annulation partielle, la divisibilité de la portion de sentence affectée par le grief du reste de la sentence;

o en l'espèce, la détermination du droit applicable n'est pas divisible, de sorte qu'il est impossible de dissocier les griefs en découlant ;

o la limitation du recours et la portée nécessairement générale des griefs sont contradictoires et irréconciliables, la République de Turquie faisant preuve d'opportunisme en tentant de de faire annuler la sentence en ce qu'elle est favorable à la République d'Irak tout en tentant de préserver les parties de la sentence qui lui sont favorables.

24. Le Ministère Public considère que :

- c'est à bon droit que le tribunal arbitral a tranché la question du droit applicable en recherchant la volonté des parties et en la déduisant de leurs différentes productions et écritures dès lors qu'il semblait exister, dès l'Acte de mission, un désaccord entre les parties quant à l'application du droit français, du droit international ou des deux ;

- le tribunal arbitral a valablement usé de son pouvoir d'appréciation en déduisant des débats et différents échanges entre les parties, que la loi française n'était finalement applicable qu'à la procédure et non au fond, la demanderesse ne démontrant pas qu'il aurait outrepassé sa mission.

Réponse de la cour

25. Selon l'article 1520, 3°, du code de procédure civile, le recours en annulation est ouvert si le tribunal a statué sans se conformer à la mission qui lui avait été confiée.

26. Définie par la convention d'arbitrage, cette mission est principalement délimitée par l'objet du litige, lequel est déterminé par les prétentions des parties, sans qu'il y ait lieu de s'attacher uniquement à l'énoncé des questions figurant dans l'acte de mission.

27. Conformément à l'article 1511 du code de procédure civile, il appartient au tribunal arbitral de trancher le litige conformément aux règles de droit que les parties ont choisies ou, à défaut, conformément à celles qu'il estime appropriées, en tenant compte, dans tous les cas, des usages du commerce.

28. À défaut de choix d'une loi par les parties, la détermination des règles de droit retenue par l'arbitre pour le fond du litige échappe au contrôle du juge de l'annulation.

29. En l'espèce, la Recourante fait grief au tribunal arbitral de n'avoir pas respecté la volonté des parties en écartant l'application du droit français qu'elles avaient choisi pour le traitement au fond de leur litige.

30. L'article 10 de l'Amendement de 2010, sur le fondement duquel la procédure arbitrale a été initiée, stipule (traduction libre fournie par la Recourante, non contestée) :

« Si un conflit ou une divergence survient entre les Parties au sujet de la mise en œuvre et de l'interprétation du présent Amendement ou de toute autre question non spécifiée dans l'Accord pendant sa période de validité ou ultérieurement, et si le conflit ne peut être résolu par des discussions à l'amiable dans un délai de 4 mois à compter de la date d'ouverture des négociations, ce conflit sera résolu conformément au règlement d'arbitrage de la Chambre de Commerce Internationale. [...]

Le lieu de l'arbitrage sera Paris, en France. Le droit applicable sera le droit français. La langue de l'arbitrage sera l'anglais. [...] »

31. Dans sa demande d'arbitrage, la République d'Irak indiquait, au paragraphe 7.1: "the merits of the dispute are governed by French law and international law" [« le fond du litige est régi par le droit français et le droit international »] (pièce DEF-4).

32. L'Acte de mission, signé par les parties et les membres du tribunal arbitral (pièce DEF-6, paragraphe 4.6) précise concernant le droit applicable que :

" The Claimant submits that the merits of the dispute are governed by French law and international law. Respondents submit that the rules of law to be applied by the Tribunal to the merits is an open question to be decided in this arbitration."

Ce qui signifie (traduction libre de la cour) :

« La Demanderesse soutient que le fond du litige est régi par le droit français et le droit international. Les Défenderesses soutiennent que les règles de droit que le tribunal doit appliquer au fond du litige constituent une question ouverte qui doit être tranchée dans le cadre de cet arbitrage. »

33. Il énonce, s'agissant des points à trancher (ibid., paragraphe 7.2(b)), que :

" The issues to be determined shall be: [...]

(b) In the event the Tribunal decides to proceed with this case, the rules of law that the Tribunal shall apply to the merit of this dispute "

Ce qui signifie (traduction libre de la cour) :

«Les questions à trancher sont les suivantes : [...]

(b) Dans le cas où le Tribunal décide de donner suite à la présente affaire, les règles de droit que le Tribunal appliquera au fond du litige ».

34. Dans la sentence querellée, le tribunal arbitral s'est interrogé sur la loi applicable.

35. La section IX de la sentence, intitulée : «DROIT APPLICABLE : DROIT FRANÇAIS, DROIT INTERNATIONAL OU LES DEUX ? », rappelle les positions respectives des parties sur cette question, en exposant que :

- leur manque de précision quant à la loi applicable selon les circonstances, déjà observé lors de la phase d'examen de la compétence arbitrale, s'est poursuivi durant la phase d'examen au fond ;

- les arbitres ayant demandé des éclaircissements sur ce point lors de l'audience sur le fond, « il est apparu que les Parties n'étaient plus d'accord sur le fait que le droit français et le droit international s'appliquaient tous les deux » (sentence, § 282), les parties étant « en désaccord sur la question de savoir si le droit applicable au fond de ce litige est le droit international ou le droit français (ou les deux) » (ibid., § 284) ;

- la position de l'État demandeur, telle qu'exposée lors de l'audience et dans son mémoire après audience, est que les Accords OIT constituent un traité soumis au droit coutumier des traités, le droit de la responsabilité de l'État s'appliquant aux violations et aux réparations, le droit des contrats ne pouvant s'appliquer pour ce qui concerne notamment la suspension des contrats (ibid., §§ 285 à 287);

- l'État défendeur considère que le changement de position ne peut remettre en cause l'accord des parties sur l'application du droit français, la liberté des parties permettant de soumettre un traité au droit interne, le droit français et le droit international pouvant s'appliquer harmonieusement et le droit français devant prévaloir en cas de conflit (ibid., §§ 288 et 289).

36. Sur cette base, que confirment les éléments de la procédure arbitrale versés aux débats par les parties (transcript de l'audience et mémoires échangés), le tribunal a considéré, en substance, que l'Accord OIT de 1973, ses modifications et protocoles ultérieurs, comme l'Amendement de 2010 sont des traités, qui doivent comme tels être analysés à l'aune du droit international, lequel, sous réserve des règles impératives du jus cogens, n'interdit pas aux États de conclure des accords dans les conditions qu'ils jugent appropriées (sentence, §§ 295 à 305). Procédant à une analyse de l'article 10 de l'Amendement de 2010, selon les principes de la Convention de Vienne relative aux droits des traités, il a estimé que l'introduction d'une référence à l'application du droit français par cet amendement conduisait à conclure que les parties avaient voulu que ce droit fût applicable à la procédure arbitrale, sans pour autant remettre en cause, par l'insertion de cette mention dans la clause d'arbitrage, les droits et obligations résultant des accords (ibid., §§ 306 à 313). Il en a déduit que l'Amendement de 2010 n'avait pas modifié le droit applicable aux Accords OIT, qui restent régis par le droit international, tout en précisant prendre en compte dans son analyse sur le fond le point de vue des parties sur le droit français, " en particulier pour ce qui concerne les moyens de défense de l'État défendeur" (ibid., § 315).

37. La cour relève à cet égard que :

- l'article 10 de l'Amendement de 2010 comporte une ambiguïté quant au point de savoir à quoi le droit français auquel il se réfère est déclaré applicable;

- s'insérant dans une clause ayant pour objet la résolution des litiges ("Dispute Settlement"), elle ne peut être interprétée comme se rapportant nécessairement à l'ensemble des Accords OIT, dont les parties ont admis qu'ils étaient, avant l'adoption de cet avenant, soumis au droit international;

- les positions prises par les parties au cours de la procédure arbitrale confirment cette ambiguïté, mise en exergue par le tribunal dans sa sentence, l'examen de leurs prétentions respectives ne permettant pas de conclure qu'il existait entre elles un accord irrévocable quant à l'application du droit français au fond du litige;

- ces positions, qui ont évolué au cours de la procédure arbitrale, ne peuvent au demeurant être analysées comme des prétentions, mais apparaissent davantage comme des moyens et arguments s'insérant dans le débat les opposant sur ce point, aucune demande formelle visant à l'application du droit français ne figurant dans la partie conclusive de leurs mémoires respectifs formulant les demandes soumises au tribunal arbitral.

38. C'est dès lors à juste titre que ce tribunal, constatant l'absence d'accord des parties sur le droit applicable, a tranché ce débat en recherchant leur commune volonté, le juge chargé du contrôle de la sentence n'ayant pas à se prononcer sur le bienfondé de la solution retenue à ce titre, sauf à méconnaître le principe de non-révision des sentences.

39. Le moyen tiré du non-respect par le tribunal arbitral de sa mission est dès lors infondé et doit être rejeté.

B. Sur le deuxième moyen d'annulation tiré de la violation du principe de la contradiction concernant le droit applicable

Moyens des parties

40. La Recourante soutient que :

- les parties sont toujours convenues de l'application du Règlement CCI à la procédure et non de celle du droit français, le tribunal arbitral n'ayant jamais soumis cette qualification à la discussion des parties;

- le tribunal arbitral a soulevé d'office l'applicabilité du droit français à la procédure en violation du principe de la contradiction :

o les parties n'ont jamais discuté de la possibilité que le droit français puisse n'être applicable qu'à la procédure, les échanges et mémoires visés par la République d'Irak et le Ministère Public faisant référence au débat sur la question du droit applicable au fond et non à la procédure;

o la décision du tribunal arbitral d'appliquer le droit français à la procédure n'a été fondée sur aucun des arguments des parties, le tribunal ne se référant à aucun moment à leurs écritures.

41. La Défenderesse au recours considère que le tribunal arbitral n'a pas méconnu le principe de la contradiction lorsqu'il a tranché la question du droit applicable, en exposant que :

- la question de l'interprétation de la référence au droit français était clairement en débat entre les parties et devait être tranchée par le tribunal arbitral :

o le tribunal arbitral n'est parvenu à sa conclusion qu'après avoir donné à chacune des parties de multiples opportunités d'étayer leurs positions respectives sur le droit applicable;

o la République de Turquie a choisi de ne pas répondre aux arguments de la République d'Irak alors qu'elle en avait la possibilité ;

- la décision du tribunal arbitral selon laquelle le droit français constituait la lex arbitri ne peut constituer une violation du principe de la contradiction :

o sous couvert de violation du principe de la contradiction, la République de Turquie tente de remettre en question le raisonnement du tribunal arbitral;

o elle ne saurait sérieusement soutenir que le tribunal arbitral a violé le principe de la contradiction en tranchant, après plus de six ans de débats entre les parties, la question de l'interprétation de la référence au droit français comme « droit applicable » à l'article 10 de l'Amendement de 2010.

- en tout état de cause, le grief d'annulation partielle est inopérant s'agissant d'une violation du principe de la contradiction relative au droit applicable.

42. Le ministère public est d'avis que :

- le débat sur le droit applicable a été nourri au travers de divers échanges entre les parties au cours de la procédure arbitrale;

- le tribunal arbitral a, à juste titre, recherché leur volonté réelle, en vertu du principe de l'effet utile de la convention d'arbitrage;

- il résulte de la jurisprudence que le tribunal arbitral n'a pas à informer les parties des règles de droit qu'il a l'intention d'appliquer afin que ces règles puissent être discutées contradictoirement, ni qu'un nouveau débat contradictoire ait lieu dès lors qu'il a suscité une discussion contradictoire générale sur la question en cause;

- en l'espèce, après avoir suscité le débat sur les questions litigieuses et interrogé les parties, le tribunal arbitral a recueilli leurs positions, les a analysées conformément à sa mission, dans le respect du principe de la contradiction.

Réponse de la cour

43. L'article 1520, 4°, du code de procédure civile ouvre le recours en annulation lorsque le principe de la contradiction n'a pas été respecté.

44. Ce principe veut seulement que les parties aient été mises à même de débattre contradictoirement des moyens invoqués et des pièces produites, et qu'elles aient pu faire connaître leurs prétentions de fait et de droit et discuter celles de leur adversaire de sorte que rien de ce qui a servi à fonder la décision des arbitres n'ait échappé à leur débat contradictoire.

45. Le tribunal arbitral n'est pas tenu de soumettre aux parties l'argumentation juridique qui étaye la motivation de sa sentence avant son prononcé. Il ne peut toutefois fonder sa décision sur des moyens de droit ou de fait non invoqués.

46. Le principe de la contradiction permet ainsi d'assurer la loyauté des débats et le caractère équitable du procès. Il interdit notamment que des moyens de fait ou de droit soient soulevés d'office sans que les parties aient été appelées à les commenter. L'arbitre peut toutefois tirer des conséquences d'un fait dans les débats ou procéder à une interprétation des éléments qui sont dans les débats, quand bien même les parties n'ont pas insisté sur ce point, sans que cela signifie qu'il aurait soulevé un moyen d'office.

47. Il résulte des développements qui précèdent que la question du droit applicable a fait l'objet d'un débat nourri entre les parties, tant lors de la phase relative à l'examen de la compétence que durant celle ayant conduit au prononcé de la sentence objet du présent recours.

48. Si, comme le relève la Recourante, ce débat s'est focalisé sur l'application du droit français pour trancher le fond de l'affaire, il n'en avait pas moins pour objet la portée de la mention, introduite à l'article 10 de l'Amendement de 2010, selon laquelle : « Le droit applicable sera le droit français ».

49. Il apparaît à cet égard que :

- dans la première phase de l'arbitrage, le tribunal arbitral a expressément invité les parties à prendre position sur le sens à donner à cette référence;

- en écho au débat suscité par cette question, il a relevé, dans sa sentence sur la compétence (§166) que :

"Article 10 of the 2010 Amendment does not unambiguously specify to what aspect(s) of the case French law was intended to apply "

- le traitement de cette question ayant été renvoyé à la seconde phase de l'arbitrage, les parties ont longuement débattu de ce point devant le tribunal arbitral avant que la sentence querellée ne fût rendue, la République d'Irak ayant notamment pu soutenir, dans son mémoire post-audience du 2 août 2019 (pièce DEF-12) que :

"The choice available to the contracting parties is further limited to the extent that any given domestic law is inappropriate or ineligible to address a given matter. Since domestic law - including French domestic law - does not contain any rules governing the validity, termination or suspension of treaties or the consequences of their breach, these matters are necessarily governed by international law, as Iraq has explained. This does not mean that Iraq's position 'leaves no room for the application of French law at all', as Turkey would have it. [...] French law also provides the general framework for dispute settlement, and may fill in lacunae in the context of the commercial aspects of the contracting parties' relations."

« Le choix dont disposent les parties contractantes est en outre limité dans la mesure où toute loi nationale donnée est inappropriée ou inapplicable pour traiter une question donnée. Étant donné que le droit national - y compris le droit national français - ne contient aucune règle régissant la validité, la résiliation ou la suspension des traités ou les conséquences de leur violation, ces questions sont nécessairement régies par le droit international, comme l'a expliqué l'Irak. Cela ne signifie pas que la position de l'Irak "ne laisse aucune place à l'application du droit français", comme le prétend la Turquie. [...] Le droit français fournit également le cadre général du règlement des différends et peut combler les lacunes dans le contexte des aspects commerciaux des relations entre les parties contractantes. » (soulignement ajouté)

50. La question de la portée de l'article 10 de l'Amendement de 2010, y compris son application à la procédure arbitrale, était ainsi dans le débat, de sorte qu'il ne peut être considéré que le tribunal arbitral aurait méconnu le principe de la contradiction.

51. Par suite, le moyen soutenu de ce chef par la Recourante ne peut prospérer.

C. Sur le troisième moyen d'annulation tiré de la violation du principe de la contradiction pour privation de la possibilité d'obtenir des éléments de preuves déterminants nécessaires à la défense d'une partie

Moyens des parties

52. La Recourante soutient que le tribunal arbitral a méconnu le principe de la contradiction en refusant la production d'éléments de preuve déterminants, nécessaires à sa défense, en ce que :

- certaines des demandes d'indemnisation pour violation des Accords OIT soumises par la République d'Irak se fondaient sur l'hypothèse que les prix pratiqués par le GFI auraient été plus élevés que ceux pratiqués par le GRK, du fait d'une remise consentie par ce dernier, ce que contestait la République de Turquie ;

- pour que la Turquie soit en mesure de se défendre utilement - et que le Tribunal soit en mesure de statuer - sur l'existence de cette remise, les prix effectivement obtenus par la SNCP sur la période de référence étaient indispensables;

- or, le tribunal a rejeté de façon lapidaire la demande de production de documents faite à cette fin par la République de Turquie, en considérant qu'elle était dépourvue « de pertinence suffisante par rapport aux questions en litige » ;

- dans sa sentence, il a néanmoins opéré une volte-face en retenant l'existence d'une remise sur la base de deux pièces parcellaires produites tardivement par l'Irak, tout en reconnaissant qu'il « ne dispos[ait] pas d'éléments de preuve concernant [...] d'éventuelles remises qui auraient pu être appliquées au cours de la période concernée », et a condamné la Turquie de ce chef de préjudice;

- il a ainsi statué sur la base des seuls éléments sélectionnés et choisis par la République d'Irak, de même nature mais dont la portée était moindre que ceux dont la République de Turquie avait demandé la communication, alors que seule la République d'Irak en disposait;

- il a, ce faisant, privé la République de Turquie de l'accès à des documents essentiels à sa défense et méconnu le principe de la contradiction.

53. La Défenderesse au recours répond que le tribunal arbitral n'a pas méconnu le principe de la contradiction ni privé la République de Turquie de la possibilité de se défendre dès lors que :

- au moment où le tribunal arbitral a rejeté la demande de production de documents formulée par la République de Turquie sur ces éléments de prix, la question du prix de vente du pétrole pratiqué par le GFI ne constituait pas un sujet contentieux entre les parties;

- le tribunal arbitral a correctement et dans son entière discrétion jugé que ces documents étaient dénués de pertinence suffisante pour l'issue du litige;

- les parties ont amplement débattu de la question de l'écart des prix pratiqués par le GRK et ceux pratiqués par la SNCP lors de la phase sur le fond de l'Arbitrage, la République de Turquie ayant eu l'opportunité de soumettre ses arguments de défense à ce sujet ainsi que ses éléments de preuve ;

- la République de Turquie n'a pas démontré le caractère déterminant des documents qu'elle allègue avoir été empêchée de produire dès lors qu'elle disposait déjà de l'ensemble des informations que ces documents étaient censés révéler;

- son argumentaire soulevé ex post ne témoigne en réalité que de sa volonté de réviser la sentence au fond;

- la République de Turquie ne démontre pas que le tribunal arbitral aurait statué sur la seule base des données introduites par la République d'Irak.

54. Le Ministère Public considère que les arguments avancés par la République de Turquie sont insuffisants à démontrer une atteinte au principe de la contradiction.

Réponse de la cour

55. Le principe de la contradiction, dont l'article 1520, 4°, sanctionne le non-respect par le tribunal arbitral, veut seulement que les parties aient été mises à même de débattre contradictoirement des moyens invoqués et des pièces produites, et qu'elles aient pu faire connaître leurs prétentions de fait et de droit, et discuter celles de leur adversaire, de sorte que rien de ce qui a servi à fonder la décision des arbitres n'ait échappé à leur débat contradictoire.

56. Il n'impose pas au tribunal arbitral de recevoir toute demande de production forcée de pièces, les arbitres pouvant, sans porter atteinte à ce principe, apprécier l'opportunité de recourir à une telle mesure.

57. Le seul exercice de la faculté offerte au tribunal arbitral d'acquiescer ou de refuser la production de pièces sollicitées ne peut suffire à caractériser une violation des droits de la défense, le juge chargé du contrôle de la sentence n'ayant pas à porter une appréciation sur le bienfondé de la décision du tribunal arbitral qui a considéré que la production d'une pièce n'était pas utile aux débats.

58. En l'espèce, la République de Turquie a, en 2017, soumis au tribunal arbitral différentes demandes de productions de pièces, l'une d'elles portant notamment sur :

« (a) les Contrats de vente de pétrole brut entre le GFI (ou ses agents ou représentants) et des acheteurs tiers pour le pétrole brut livré par le GFI via le terminal de Ceyhan;

(b) les Documents d'expédition correspondants;

(c) les Documents montrant le dépôt des produits de la vente sur les comptes OPRA/FDI;

(d) les Documents montrant les crédits correspondants dans le compte du ministère des Finances de l'Irak à la Banque centrale d'Irak à Bagdad; et

(e) les Documents montrant les paiements correspondants au GRK et/ou aux entrepreneurs engagés dans la production de pétrole brut dans le RKI. » (pièce DEF-14, traduction libre)

59. Elle justifiait cette demande en exposant que :

« Ces catégories de documents sont pertinentes pour établir (i) qui est mentionné comme le vendeur du pétrole brut, (ii) si les recettes ont effectivement été déposées sur les comptes OPRA/FDI, comme l'Irak affirme que cela aurait été fait, et (iii) le prix auquel le pétrole brut était vendu, ce qui est pertinent pour la revendication de l'Irak selon laquelle le GRK a vendu du pétrole brut à un " rabais significatif " » (ibid.)

60. Le tribunal arbitral a rejeté cette prétention « pour manque de pertinence suffisante par rapport aux questions en litige » (ibid.).

61. Examinant la question du « Prix de Vente Réduit », il a, dans la sentence querellée, « estim[é] que le GRK a vendu son pétrole à un prix inférieur à celui de la SNCP » et conclu « que l'État Défendeur est tenu d'indemniser l'État Demandeur pour la remise appliquée [à tout le] pétrole du GRK qui aurait été vendu par la SNCP si l'État Défendeur n'avait pas violé les Accords OIT » (sentence §§ 609 et 625, traduction fournie par la Recourante, corrigée par la cour).

62. La Recourante lui fait à cet égard grief d'avoir retenu, au paragraphe 607 de la sentence, qu'il ne « dispos[ait] pas d'éléments de preuve concernant les prix de vente réels convenus par le GRK pour les ventes individuelles ou d'éventuelles remises qui auraient pu être appliquées au cours de la période concernée » et de s'être fondé sur les seuls éléments produits par la République d'Irak, soit un contrat conclu avec une raffinerie de pétrole turque et les données de vente de la SNCP pour les six premiers mois de 2017, alors que sa demande de production de pièces visait à la communication de documents plus larges, ce qui a conduit les arbitres à juger, au paragraphe 608 de la sentence, qu'il était « raisonnable de conclure que le GRK a vendu son pétrole avec un rabais par rapport à la juste valeur du marché ».

63. La cour relève qu'après la décision du tribunal arbitral de 2017 sur les productions de pièces, les parties et leurs experts ont débattu de la question de l'écart entre les prix pratiqués par le GRK et ceux pratiqués par la SNCP. Ce point a notamment fait l'objet de discussions lors des audiences au fond d'avril et septembre 2019, ainsi que dans les mémoires post-audience des parties, sans que la Recourante ne demande au tribunal arbitral de reconsidérer sa position. La sentence se fait au demeurant l'écho de ces débats en relevant que :

« Il existe cependant quelques données sur les ventes du GRK. Les deux Parties ont été en mesure d'extrapoler les données dont elles disposaient et d'estimer que le GRK avait reçu environ 27 milliards USD provenant des ventes de pétrole entre mai 2014 et septembre 2018. Ce chiffre est inférieur à l'estimation de la juste valeur marchande du pétrole, telle qu'elle a été calculée par [les experts] » (sentence, § 607)

et en renvoyant aux diapositives et présentations des experts lors de l'audience au fond (notes en bas de page se rapportant à ce paragraphe).

64. Il résulte de ces constatations que la question des écarts de prix et des éléments permettant d'établir leur existence et de les évaluer se trouvait bien dans le débat, la Recourante ne pouvant, sous couvert d'une atteinte au principe de la contradiction, inviter le juge chargé du contrôle de la sentence à procéder à une révision de l'appréciation portée par les arbitres sur ce point.

65. Le troisième moyen d'annulation est dès lors infondé.

66. Aucun des moyens d'annulation soutenu par la Recourante n'ayant prospéré, le recours en annulation formé par la République de Turquie sera rejeté.

D. Sur les frais de la procédure

67. La République de Turquie, dont le recours est rejeté, sera condamnée aux dépens, les demandes qu'elle forme sur le fondement de l'article 700 du code de procédure civile étant rejetées.

68. En application de cet article, elle sera condamnée à payer à la République d'Irak la somme de 200 000 euros.

IV/ DISPOSITIF

Par ces motifs, la cour:

1) Rejette le recours en annulation partielle formé par la République de Turquie contre la sentence arbitrale rendue le 13 février 2023 dans l'affaire CCI n° 20273/AGF/ZF/AYZ/ELU;

2) Condamne la République de Turquie aux dépens;

3) En application de l'article 700 du code de procédure civile, rejette la demande de condamnation formée par la République de Turquie et la condamne à payer à la République d'Irak la somme de deux cents mille euros (200 000 €).
